General Commercial Use
Llama 2 is available for commercial use without requiring special permission for most organizations.
Large-Scale Deployment Restriction
This restriction applies to:- Products or services made available by or for the Licensee
- Services made available by Licensee’s affiliates
- Monthly active users counted in the preceding calendar month
Usage Requirements
Compliance Obligations
Your use of Llama Materials must:- Comply with applicable laws and regulations (including trade compliance laws)
- Adhere to the Acceptable Use Policy (incorporated by reference into the license)
- Not be used to improve other LLMs (excluding Llama 2 or derivative works thereof)
Redistribution Requirements
If you distribute Llama Materials or derivative works:Provide License Copy
You must provide a copy of this Agreement to any third party receiving the materials
Exception for End Users
If you receive Llama Materials as part of an integrated end user product, the commercial terms (Section 2) do not apply to you.Intellectual Property Rights
Ownership
- Meta retains ownership of the original Llama Materials
- You own derivative works and modifications that you create
- No trademark licenses are granted under this Agreement
Patent Protection
You must indemnify and hold harmless Meta from any third-party claims arising from your use or distribution of Llama Materials.Disclaimers and Limitations
Warranty Disclaimer
Llama Materials are provided “AS IS” without warranties of any kind, including:
- No warranty of title
- No warranty of non-infringement
- No warranty of merchantability
- No warranty of fitness for a particular purpose
Limitation of Liability
Meta and its affiliates will not be liable for:- Lost profits
- Indirect, special, or consequential damages
- Incidental, exemplary, or punitive damages
- Any damages arising from this Agreement under any theory of liability
Term and Termination
Term: The Agreement commences upon acceptance or access to Llama Materials and continues until terminated. Termination: Meta may terminate if you breach any term or condition. Upon Termination: You must delete and cease use of all Llama Materials. Survival: Sections covering disclaimers, limitations of liability, and governing law survive termination.Governing Law
- Governing Law: State of California (without regard to choice of law principles)
- Jurisdiction: Courts of California have exclusive jurisdiction
- International: UN Convention on Contracts for the International Sale of Goods does not apply
